Frequently asked questions
Who can open a company in Poland?
Which form of activity should I choose: opening a sole proprietorship or opening a company?
To register a sole proprietorship a foreigner needs a basis. The most common ones are Ukrainian citizenship, PBH visa, Polish Card, residence permit.
A company can be registered by any foreigner who is in Poland legally.
The authorised capital is not required for a sole proprietorship, while for a company the minimum amount of the authorised capital should be 5000 PLN.
It is possible to hire employees in both forms.
There are differences in material liability: in the case of a sole proprietorship the entrepreneur is liable for the obligations with all his personal property, while the members of the management board of the company are liable for the obligations of the company, but not for their property.
If you want to do business with a partner, there is no such possibility in the sole proprietorship format (but you can delegate the management of activities). If you have a company, then several founders can contribute the initial capital to start the business and fix it by determining the shares of each participant and distributing the roles of partners (shares, participation in the board, management, etc.).
Both forms of doing business are the basis for applying for a residence permit for foreigners.

- Spółka akcyjna (S.A.) it is the Polish equivalent of joint stock companies. The authorised capital of an S.A. company must be at least 100,000 zł.
- Przedstawicielstwo firmy zagranicznej (representative office of a foreign company) — a legal form of a company that can conduct business as a representative office of a foreign company from another country.
